Dell Inc. (DELL) said Thursday that its board has received a shareholder-demand letter requesting that the panel investigate allegations made in securities and derivative lawsuits filed against various current and former Dell officers and directors and PriceWaterhouseCoopers LLP, its independent auditor.
The Round Rock, Texas, personal-computer maker also said the letter asks its board to assert claims relating to the allegations, according to a quarterly report filed with the Securities and Exchange Commission.
In previous SEC filings, Dell said the allegations include the defendants giving false and misleading disclosures or omissions regarding Dell's financial statements, governmental investigations, internal controls, known battery problems, business model, and insiders' sales of Dell's securities.
Dell said in Thursday's filing that its board will consider and address the demand letter.
The SEC entered in October 2006 a formal order of investigation into Dell's accounting and financial reporting matters, according to previous SEC filings. Also, the U.S. Attorney for the Southern District of New York has subpoenaed documents related to Dell's financial reporting from and after "fiscal 2002."
Dell's audit committee also completed an independent investigation in the prior year's fiscal third quarter.
On Thursday, Dell reiterated the investigations are ongoing and the company continues to cooperate with the SEC and U.S. Attorney.
Dell shares were trading after market close Thursday at $10.25 each, down 2 cents, or 0.19%.
